Announcement Regarding the Completion of Share Transfer Registration by the Controlling Shareholder and the Change of Controlling Shareholder and Actual Controller
Beijing Baihua Yuebang Technology Co., Ltd. (hereinafter "the Company") received notification on June 18, 2026, from its controlling shareholders, Beijing Daan Century Investment Management Co., Ltd. (hereinafter "Daan Century") and Beijing Yuehua Zhongcheng Investment Management Center (Limited Partnership) (hereinafter "Yuehua Zhongcheng"), that the share transfer registration procedures have been completed. The Company has obtained the "Securities Transfer Registration Confirmation" issued by China Securities Depository and Clearing Corporation Limited. The details are as follows:
I. Basic Information on the Share Transfer
On March 27, 2026, the Company's controlling shareholders, Daan Century and Yuehua Zhongcheng, signed a "Share Transfer Agreement" with Nanjing DeLe Technology Group Co., Ltd. (hereinafter "DeLe Technology"). DeLe Technology agreed to acquire a total of 26,013,359 shares held by Daan Century and Yuehua Zhongcheng, representing 20.33% of the Company's total share capital. Specifically, Daan Century transferred 25,373,687 shares, and Yuehua Zhongcheng transferred 639,672 shares. The transfer price was 21.88 yuan per share.
Upon completion of the transfer, DeLe Technology holds voting rights corresponding to 26,013,359 shares, representing 20.33% of the total share capital. From the date of completion of the share transfer registration, the Company's controlling shareholder has changed to DeLe Technology, and the actual controller has changed to Mr. Chen Zhu.
On April 28, 2026, Daan Century, Yuehua Zhongcheng, and DeLe Technology signed a "Supplementary Agreement to the Share Transfer Agreement" to amend certain terms of the original agreement.
