This incentive plan includes two parts: a stock option incentive plan and a restricted stock incentive plan. The source of the shares is the Company's定向 issuance of A-share common stocks to the incentive recipients.

The total number of equity interests to be granted under this incentive plan is 14.41 million shares, accounting for 1.78% of the Company's total share capital of 809.1155 million shares at the time of the announcement of this draft. Of this, 11.61 million shares are granted for the first time, accounting for 1.43% of the total share capital; 2.80 million shares are reserved, accounting for 0.35% of the total share capital. Stock Option Incentive Plan: The number of stock options to be granted is 6.905 million. Of this, 5.58 million are granted for the first time, accounting for 0.69% of the total share capital; 1.325 million are reserved, accounting for 0.16% of the total share capital. Subject to meeting exercise conditions, each stock option grants the recipient the right to purchase 1 share of the Company's stock at the exercise price within the validity period.
Restricted Stock Incentive Plan: The number of restricted shares to be granted is 7.505 million. Of this, 6.03 million are granted for the first time, accounting for 0.75% of the total share capital; 1.475 million are reserved, accounting for 0.18% of the total share capital.
As of the announcement date of this draft, the total number of underlying shares involved in all of the Company's effective equity incentive plans does not exceed 20.00% of the Company's total share capital at the time the plan is submitted to the shareholders' meeting. The cumulative number of shares granted to any single incentive recipient under all effective equity incentive plans does not exceed 1.00% of the Company's total share capital.
- The total number of incentive recipients for the initial grant is 209, including directors, senior management, core technical (business) personnel, and other personnel deemed necessary for incentives by the board of directors at the time of the announcement, excluding independent directors, shareholders holding 5% or more of shares individually or in aggregate, or actual controllers and their spouses, parents, and children.
Reserved incentive recipients refer to those not yet determined at the time the incentive plan is approved by the shareholders' meeting but who will be included in the plan during its duration, to be determined within 12 months after the plan is approved. The criteria for determining reserved recipients shall follow the standards for the initial grant.
