Audit Report
To Zhongfu Junke Zhengyuan (Anhui) Biopharmaceutical Technology Co., Ltd.:
I. Audit Opinion
We have audited the pro forma financial statements of Junke Zhengyuan (Beijing) Pharmaceutical Research Co., Ltd. (hereinafter referred to as "Junke Zhengyuan"), which comprise the pro forma consolidated balance sheet as of March 31, 2026, the pro forma consolidated income statement for the period from January to March 2026, and the related notes to the pro forma financial statements, prepared in accordance with the basis of preparation set out in Note II, 1.
In our opinion, the accompanying pro forma financial statements are prepared, in all material respects, in accordance with the Accounting Standards for Business Enterprises and fairly present the pro forma consolidated financial position of Junke Zhengyuan as of March 31, 2026, and its pro forma consolidated operating results for the period from January to March 2026.
II. Basis for Audit Opinion
We conducted our audit in accordance with the Auditing Standards for Certified Public Accountants of China. Our responsibilities under those standards are further described in the "Certified Public Accountant's Responsibilities for the Audit of the Financial Statements" section of our report. We are independent of Junke Zhengyuan in accordance with the Code of Ethics for Certified Public Accountants of China and have fulfilled our other ethical responsibilities in accordance with the Code. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.
III. Emphasis of Matter - Basis of Preparation
We draw attention to Note II to the pro forma financial statements, which describes the basis of preparation. The pro forma financial statements of Junke Zhengyuan were prepared for the purpose of the equity transaction described in Note II. Consequently, the pro forma financial statements may not be suitable for other purposes.
This matter does not affect the audit opinion expressed.
IV. Responsibilities of Management and Those Charged with Governance for the Financial Statements
The management of Junke Zhengyuan (hereinafter referred to as "Management") is responsible for the preparation of the pro forma financial statements in accordance with the Accounting Standards for Business Enterprises to achieve fair presentation, and for such internal control as Management determines is necessary to enable the preparation of pro forma financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the pro forma financial statements, Management is responsible for assessing Junke Zhengyuan's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless Management either intends to liquidate Junke Zhengyuan or to cease operations, or has no realistic alternative but to do so.
Those charged with governance are responsible for overseeing Junke Zhengyuan's financial reporting process.
V. Certified Public Accountant's Responsibilities for the Audit of the Financial Statements
Our objectives are to obtain reasonable assurance about whether the pro forma financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an audit report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with auditing standards will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these pro forma financial statements.
