Announcement on Amendments to the Articles of Association (Draft) and Rules of Procedure (Draft) of Fuman Microelectronics Group Co., Ltd. Effective Upon H-Share Listing

Fuman Microelectronics Group Co., Ltd. (hereinafter referred to as the "Company") held the 20th meeting of the Fourth Board of Directors on July 28, 2026, and reviewed and approved the Proposal on Amending the Articles of Association (Draft) and Relevant Rules of Procedure (Draft) of Fuman Microelectronics Group Co., Ltd. Effective Upon H-Share Listing. The above proposal needs to be submitted to the Company's 2026 Third Extraordinary General Meeting for consideration, with details as follows:
I. Reason for Amending the Articles of Association and its Appendices
In order to meet the requirements of the Company's H-share issuance and listing on the Main Board of The Stock Exchange of Hong Kong Limited (hereinafter referred to as the "Hong Kong Stock Exchange"), the Company, in accordance with the provisions of the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Tentative Measures for the Administration of Overseas Issuance and Listing of Securities by Domestic Enterprises, the Guidance for Listed Company Articles of Association, and other relevant Chinese laws and regulations, as well as the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (hereinafter referred to as the "Hong Kong Listing Rules") and relevant Hong Kong laws regarding the requirements for companies registered in mainland China to issue and list shares in Hong Kong, and in conjunction with the Company's actual situation and needs, has amended the current Articles of Association and its appended Rules of Procedure. The revised documents, namely the Articles of Association of Fuman Microelectronics Group Co., Ltd. (Draft) (hereinafter referred to as the "Articles of Association (Draft)") and its appended Rules of Procedure for Shareholders' Meetings of Fuman Microelectronics Group Co., Ltd. (Draft) (hereinafter referred to as the "Rules of Procedure for Shareholders' Meetings (Draft)") and the Rules of Procedure for Board Meetings of Fuman Microelectronics Group Co., Ltd. (Draft) (hereinafter referred to as the "Rules of Procedure for Board Meetings (Draft)"), will be effective and implemented upon the listing of the Company's H-shares on the Hong Kong Stock Exchange, subject to approval by the General Meeting. Upon implementation, the current Articles of Association and its appended Rules of Procedure will be repealed accordingly. Prior to that, unless otherwise amended, the current Articles of Association and its appended Rules of Procedure will remain in effect.
II. Other Explanations on the Establishment and Amendment of the Company's Corporate Governance System
