(hereinafter referred to as the "Company" or "Jiangfeng Electronics") held the 38th meeting of the Fourth Board of Directors on July 15, 2026, and reviewed and approved the "Proposal on Changes to Major Transaction Agreements and Signing of Related Agreements." Due to changes in the cooperating entities and adjustments in capital contribution proportions, the Company intends to sign the "Amended Agreement" and the "Shareholder Agreement of Beijing Fengke Baosheng Electronic Materials Co., Ltd." (hereinafter referred to as the "Shareholder Agreement") with Beijing Fengke Xinchuang Equity Investment Fund Center (Limited Partnership) (hereinafter referred to as "Fengke Xinchuang"), Beijing Xinchuang Zhizao Phase II Venture Capital Fund (Limited Partnership) (hereinafter referred to as "Xinchuang Phase II"), ULVAC, Inc.
