Legal Opinion of Guohao Law Firm (Shanghai) on the First Extraordinary Shareholders' Meeting of Ningbo Jiangfeng Electronic Materials Co., Ltd. in 2026

Guohao Law Firm (Shanghai) (hereinafter referred to as "this firm") has been engaged by Ningbo Jiangfeng Electronic Materials Co., Ltd. (hereinafter referred to as "the Company") and has appointed lawyers Wang Weidong and Shen Wen to attend and witness the Company's first extraordinary shareholders' meeting in 2026 (hereinafter referred to as "this meeting"). The lawyers of this firm have conducted a review of the convening and holding procedures of this meeting, the qualifications of attendees, the qualifications of the convener, the voting procedures, and the voting results in accordance with the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Securities Law of the People's Republic of China (hereinafter referred to as "the Securities Law"), the Rules for Shareholders' Meetings of Listed Companies, and other relevant laws, regulations, and normative documents issued by the China Securities Regulatory Commission, as well as the Articles of Association of Ningbo Jiangfeng Electronic Materials Co., Ltd. (hereinafter referred to as "the Articles of Association"). This legal opinion is issued based on the recognized business standards, ethical norms, and diligence of the legal profession.
I. Convening and Holding Procedures of this Meeting
On February 6, 2026, the Company sent out a notice regarding the convening of the first extraordinary shareholders' meeting in 2026, scheduled for February 27, 2026. On February 11, 2026, shareholder Yao Lijun, holding more than 1% of the Company's shares, submitted a proposal letter to the Company suggesting the addition of temporary proposals for consideration at the meeting, including the sub-proposals related to the expected daily related party transactions for 2026 and amendments to the Articles of Association and certain management systems. On February 12, 2026, the Company issued a supplementary notice regarding the addition of temporary proposals for the first extraordinary shareholders' meeting (collectively referred to as "the Meeting Notice").
