CITIC Securities Co., Ltd. is the custodian for KeLan Software's issuance of convertible bonds to unspecified targets (bond abbreviation: KeLan Convertible Bond, bond code: 123157). We continuously monitor matters that have a significant impact on the rights and interests of bondholders. In accordance with the "Administrative Measures for the Issuance and Trading of Corporate Bonds," the "Code of Conduct for Custodians of Corporate Bonds," and other relevant regulations, the "Custodianship Agreement" for this convertible bond, and the issuer's relevant announcements, we hereby report on major matters concerning this convertible bond:
I. Issuance and Conversion of This Convertible Bond
The plan and related matters for the issuance of convertible bonds to unspecified targets were reviewed and approved at the 43rd meeting of the Second Board of Directors of Beijing KeLan Software System Co., Ltd. (hereinafter referred to as "the Company," "KeLan Software," or "the Issuer") on May 28, 2021, and approved at the Second Extraordinary General Meeting of Shareholders in 2021 on June 16, 2021.
On December 8, 2021, the Company convened the Second Meeting of the Third Board of Directors, which adjusted the plan for the public issuance of convertible corporate bonds to unspecified targets, reducing the total amount of funds to be raised to no more than RMB 494.60 million.
As approved by the China Securities Regulatory Commission's "Approval on the Registration of Beijing KeLan Software System Co., Ltd.'s Issuance of Convertible Corporate Bonds to Unspecified Targets" (Securities Regulatory License [2022] No. 1567), the Company issued 4.946 million convertible corporate bonds to unspecified targets, with each bond having a face value of RMB 100, for a total fundraising amount of RMB 494.60 million. After deducting issuance-related expenses of RMB 8,984,650.93 (excluding VAT), the net proceeds from the fundraising amounted to RMB 485,615,349.07. The capital verification for the aforementioned fundraising was completed by Dahua Certified Public Accountants (Special General Partnership) and a "Capital Verification Report" (Dahua Verification Certificate [2022] No. 000614) was issued on September 5, 2022.
