I. Basic Information of Convertible Corporate Bonds
(I) Issuance of Convertible Corporate Bonds
With the approval of the China Securities Regulatory Commission's "Regulatory Permission (2022) No. 1567" document, Beijing Kolan Software System Co., Ltd. (hereinafter referred to as the "Company") issued 4.946 million convertible corporate bonds to unspecified targets on August 30, 2022. Each bond has a face value of 100 RMB, with a total issuance amount of 494.60 million RMB. The issuance method involved priority allocation to existing shareholders, followed by online issuance to public investors through the Shenzhen Stock Exchange trading system for the remaining portion (including shares relinquished by existing shareholders). Any portion not subscribed to reach 494.60 million RMB was underwritten by the sponsor (lead underwriter) CICC.
(II) Listing of Convertible Corporate Bonds

According to relevant regulations such as the "Shenzhen Stock Exchange ChiNext Stock Listing Rules" and the "Prospectus", the conversion period for this convertible corporate bond is from March 6, 2023, to August 29, 2028.
(IV) Adjustment of Convertible Corporate Bond Conversion Price
- Initial Conversion Price
According to relevant regulations such as the "Shenzhen Stock Exchange ChiNext Stock Listing Rules" and the Company's prospectus, the initial conversion price of the Kolan Convertible Bond issued this time is 16.02 RMB/share.
- Adjustment of Conversion Price
On May 18, 2023, the Company held its 2022 Annual Shareholders' Meeting and approved the "Proposal on the Company's 2022 Profit Distribution Plan". On July 3, 2023, the "Announcement on the Implementation of 2022 Equity Distribution" (Announcement No.: 2023-045) was disclosed on the Giant Information Network, distributing a cash dividend of RMB 0.1 per 10 shares (tax inclusive) to all shareholders. According to the relevant clauses of the "Prospectus" and the relevant regulations of the China Securities Regulatory Commission on the issuance of convertible corporate bonds, the conversion price of the Company's convertible corporate bonds was adjusted to 16.01 RMB/share, and the adjusted conversion price became effective from July 11, 2023 (ex-rights and ex-dividend date).
