Zhongfu Information Co., Ltd. Independent Director's 2025 Annual Performance Report
As an independent director of Zhongfu Information Co., Ltd. (hereinafter referred to as "the Company"), I, Wang Guanzhong, have strictly adhered to the Company Law, the Management Measures for Independent Directors of Listed Companies, and other relevant laws and regulations, as well as the Company’s Articles of Association and the Independent Director Work System. I have diligently and independently fulfilled my responsibilities, actively attended relevant meetings, carefully reviewed meeting proposals and materials, fully exercised the role of an independent director, and worked to protect the overall interests of the Company and the legitimate rights and interests of all shareholders, especially minority shareholders. The following is my performance report for the year 2025:
I. Basic Information
Wang Guanzhong, male, Chinese nationality, without permanent residency abroad, born in 1967, holds a master's degree, currently serves as an associate professor and master's supervisor at the School of Accounting, Shandong University of Finance and Economics. Since April 2020, I have served as an independent director of the Company. I do not hold any position other than that of independent director within the Company or its major shareholders, and there are no interests or relationships that could hinder my independent and objective judgment. I meet the independence requirements set forth in the Management Measures for Independent Directors of Listed Companies and the Self-Regulatory Guidelines for the Standard Operation of GEM Listed Companies.
II. Annual Performance Overview
In 2025, I actively attended the Company’s shareholders' meetings and board meetings, proactively obtained relevant information and materials regarding meeting topics, made independent and prudent judgments on meeting proposals, and expressed clear and definite opinions, fulfilling my duties as an independent director.
