Issuance Sponsorship Letter
Xiamen Hongxin Electronics Technology Group Co., Ltd. (hereinafter referred to as the "Issuer," "Company," or "Hongxin Electronics") has applied for a private placement of shares and listing on the ChiNext market in 2024. In accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Administrative Measures for the Registration of Issuance of Securities by Listed Companies" (hereinafter referred to as the "Re-financing Registration Measures"), and the "Review Rules for the Issuance and Listing of Securities by Listed Companies of the Shenzhen Stock Exchange" (hereinafter referred to as the "Review Rules"), and other relevant laws and regulations, the Issuer has submitted the application documents. Huatai United Securities Co., Ltd. (hereinafter referred to as "Huatai United Securities" or the "Sponsor"), as the sponsor for this issuance, with Cai Min and Gao Xudong as the responsible sponsoring representatives, hereby issues this Issuance Sponsorship Letter.
The Sponsor, Huatai United Securities, and the sponsoring representatives, Cai Min and Gao Xudong, hereby undertake: The Sponsor and sponsoring representatives, in accordance with the relevant laws and regulations such as the "Company Law" and the "Securities Law," and the relevant regulations of the China Securities Regulatory Commission (hereinafter referred to as the "CSRC") and the Shenzhen Stock Exchange (hereinafter referred to as the "SZSE"), have acted with honesty, diligence, and conscientiousness, and have strictly followed the legally established business rules, industry practice standards, and ethical codes in issuing this Issuance Sponsorship Letter, and guarantee that the contents of the documents issued are true, accurate, and complete.
