Great Wall Securities Co., Ltd. (hereinafter referred to as "this Sponsor," "the Sponsor," or "Great Wall Securities") has been engaged by Shenzhen Minde Electronics Technology Co., Ltd. (hereinafter referred to as "Minde Electronics," "the Company," or "the Issuer") to act as the sponsor for its 2026 annual issuance of A-shares to specific targets.
This Sponsor and its representatives have acted in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Administrative Measures for the Registration of Securities Issuance by Listed Companies, the Administrative Measures for the Sponsorship of Securities Issuance and Listing, and other relevant laws, regulations, and provisions of the China Securities Regulatory Commission (CSRC) and the Shenzhen Stock Exchange (SZSE). We have acted with honesty, integrity, and due diligence, strictly following established business rules, industry practice standards, and ethical codes to issue this sponsorship letter, and we guarantee the truthfulness, accuracy, and completeness of the documents provided. Great Wall Securities has designated Lin Ying and Qin Li as the sponsor representatives for Minde Electronics' current issuance. Their primary sponsorship business experience is as follows:
Lin Ying, sponsor representative, began working in investment banking in 2011. He has been responsible for or participated in IPO projects such as Jusailong and Minde Electronics; non-public issuance projects such as Flyring, CSC Financial, Minde Electronics, and Jinke Property; public issuance projects for Nengke Shares; convertible bond projects for Jusailong and Tiankang Bio; and major asset restructuring projects for Minde Electronics, Nengke Shares, and Tiankang Bio. During his practice, Mr. Lin has strictly complied with the Administrative Measures for the Sponsorship of Securities Issuance and Listing and other relevant regulations. He has a good professional record and has not been subject to regulatory measures by the CSRC, public condemnation by stock exchanges, or disciplinary action by the Securities Association of China within the last three years.
