Announcement on Capital Increase of Subsidiary and Company's Waiver of Preemptive Subscription Rights

Shenzhen Mind Electronic Technology Co., Ltd. (hereinafter referred to as "Mind Electronic" or the "Company") held the 24th meeting of the Fourth Board of Directors on June 26, 2026, and reviewed and approved the "Proposal on Capital Increase of Subsidiary and Company's Waiver of Preemptive Subscription Rights." The details are hereby announced as follows:
I. Overview of the Transaction
(I) Basic Transaction Information
To enhance the comprehensive capital strength of the Company's subsidiary, Zhejiang Guoxin Microelectronics Co., Ltd. (hereinafter referred to as "Guoxin Microelectronics" or the "Target Company"), and to support Guoxin Microelectronics' stable and high-quality expansion, Guoxin Microelectronics plans to introduce investors Huaxi Yinfeng Investment Co., Ltd. (hereinafter referred to as "Huaxi Capital") and Changke Zhiheng Venture Capital Co., Ltd. (Limited Partnership) (hereinafter referred to as "Changfa Capital") through a capital increase and share expansion. Among them, Huaxi Capital will subscribe for RMB 35 million of new registered capital of Guoxin Microelectronics, amounting to RMB 21.56566 million, accounting for 3.2864% of Guoxin Microelectronics' registered capital after the capital increase. Changfa Capital will subscribe for RMB 10 million of new registered capital of Guoxin Microelectronics, amounting to RMB 6.16162 million, accounting for 0.9390% of Guoxin Microelectronics' registered capital after the capital increase. The Company and other shareholders of Guoxin Microelectronics, Xie Gang, Lishui High-Quality Green Development Industry Fund Co., Ltd., Zhou Cunxu, Qingdao Kailian Hengnuo Venture Capital Partnership (Limited Partnership), and Shanghai Xinzhi Electronic Technology Co., Ltd. have all waived their preemptive subscription rights for this capital increase. After this capital increase, Guoxin Microelectronics' registered capital will increase from RMB 62.848484 million to RMB 65.621212 million. The Company's shareholding proportion in Guoxin Microelectronics will decrease to 42.3380%. After the capital increase, the Company will still be the single largest shareholder of Guoxin Microelectronics. According to the Company's articles of association and internal governance system, 4 out of the 7 directors on the board of Guoxin Microelectronics are appointed by the Company, and the Company will continue to control Guoxin Microelectronics. Guoxin Microelectronics will continue to be a holding subsidiary within the scope of the Company's consolidated financial statements. This capital increase will not change the scope of the Company's consolidated financial statements.
(II) Approval Procedures
The 24th meeting of the Fourth Board of Directors of the Company, held on June 26, 2026, reviewed and approved the "Proposal on Capital Increase of Subsidiary and Company's Waiver of Preemptive Subscription Rights," agreeing to introduce investors through capital increase and share expansion, and the Company waived its preemptive subscription rights for Guoxin Microelectronics. This transaction does not involve related-party transactions, nor does it constitute a major asset restructuring as stipulated in the "Administrative Measures for Major Asset Restructuring of Listed Companies," and does not require approval from relevant authorities.
In accordance with the "Shenzhen Stock Exchange GEM Stock Listing Rules," "Articles of Association," and other relevant regulations, this capital increase is within the scope of the Board of Directors' authority and does not require shareholder approval. The Board of Directors authorizes the Company's management to handle all matters related to this capital increase, including but not limited to signing relevant agreements and completing industrial and commercial change registration. The authorization is valid from the date of the Board of Directors' approval until all matters related to this capital increase are completed.
