I. Overview of Guarantee Situation
(1) Basic Information on the Guarantee
Zhengyuan Wisdom Group Co., Ltd. (hereinafter referred to as "the Company" or "Zhengyuan Wisdom")’s holding subsidiary, Zhejiang Nut Wisdom Technology Co., Ltd. (hereinafter referred to as "Nut Wisdom"), has applied for a loan of RMB 5 million from the Technology City Branch of Zhejiang Hangzhou Yuhang Rural Commercial Bank Co., Ltd. due to business development needs, and the Company will provide a joint liability guarantee of RMB 5 million for this loan. To ensure the Company's future right of recourse against Nut Wisdom, other shareholders of Nut Wisdom, Wang Xiaqing and Zhou Wei, have provided counter-guarantees to the Company, irrevocably guaranteeing the Company's right of recourse against Nut Wisdom based on their respective shareholding ratios at the time the debt arises.
