CITIC Securities Co., Ltd. Audit Opinion on Shenzhen Fast-Info Wireless Co., Ltd.'s Transaction Compliance with the "Opinions on Strengthening the Prevention of Bribery and Corruption Risks When Securities Companies Engage Third Parties in Investment Banking Business"
Shenzhen Fast-Info Wireless Co., Ltd. (hereinafter referred to as "the Company" or "Fast-Info") intends to acquire a 37.16% equity interest in Shenzhen Honsheng Electronics Co., Ltd. (hereinafter referred to as "the Target Company" or "Honsheng Electronics") by way of cash payment, and thereby achieve control over the Target Company through an acting-in-concert agreement (hereinafter referred to as "the Transaction"). The Transaction constitutes a major asset restructuring for the Company.
CITIC Securities Co., Ltd. (hereinafter referred to as "the Independent Financial Advisor" or "CITIC Securities"), entrusted by Fast-Info, serves as the independent financial advisor for this Transaction. In accordance with the provisions of the "Opinions on Strengthening the Prevention of Bribery and Corruption Risks When Securities Companies Engage Third Parties in Investment Banking Business" (Issuance [2018] No. 22), the Independent Financial Advisor hereby conducts an audit on the engagement of third-party institutions or individuals (hereinafter referred to as "Third Parties") by the Independent Financial Advisor and the Company in this Transaction and expresses the following opinions:
