Supplementary Legal Opinion (I)
To: Shenzhen Goodix Wireless Technology Inc.
Shenzhen AllBright Law Offices (hereinafter referred to as "the Firm") has been entrusted by Shenzhen Goodix Wireless Technology Inc. (hereinafter referred to as "the Company/Goodix") and, in accordance with the "Special Legal Services Agreement" signed between the Company and the Firm, acts as the special legal counsel for the Company's major asset purchase.
Pursuant to the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Administrative Measures for Major Asset Restructuring of Listed Companies," "Supervision Guidelines for Listed Companies No. 9 - Regulatory Requirements for Listed Companies in Planning and Implementing Major Asset Restructuring," and other relevant laws, regulations, and regulations of the China Securities Regulatory Commission, and in accordance with the generally accepted business standards, ethical norms, and diligence and conscientiousness of the legal profession, the Firm's lawyers issued the "Shenzhen AllBright Law Offices' Legal Opinion on the Major Asset Purchase of Shenzhen Goodix Wireless Technology Inc." (hereinafter referred to as the "Legal Opinion") on June 29, 2026, and the "Special Verification Opinion on the Self-Inspection Report of Insiders Trading Stocks Related to the Major Asset Purchase of Shenzhen Goodix Wireless Technology Inc." on August 7, 2026.
Given that the reporting period of this transaction has been adjusted from 2024 and 2025 to 2024, 2025, and 2026, and the period from January 1, 2026, to April 30, 2026, Tongzhi Certified Public Accountants issued the "Audit Report of Shenzhen Hongsheng Electronics Co., Ltd. for 2024, 2025, and January-April 2026" (Tongzhi Audit [2026] No. 441A033999) with April 30, 2026, as the base date. The Firm now issues this Supplementary Legal Opinion (I) (hereinafter referred to as "this Supplementary Legal Opinion") regarding significant changes in major legal matters that have occurred from January 1, 2026, to April 30, 2026, or from the date of issuance of the "Legal Opinion" to the date of issuance of this Supplementary Legal Opinion.
This Supplementary Legal Opinion is issued in accordance with the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Administrative Measures for Major Asset Restructuring of Listed Companies," "Supervision Guidelines for Listed Companies No. 9 - Regulatory Requirements for Listed Companies in Planning and Implementing Major Asset Restructuring," and other relevant laws, regulations, and regulations of the China Securities Regulatory Commission.
This Supplementary Legal Opinion supplements the "Legal Opinion" previously issued by the Firm and constitutes an inseparable part thereof. The premises and assumptions under which the Firm expressed its legal opinions in the "Legal Opinion" are equally applicable to this Supplementary Legal Opinion. Unless otherwise stated in this Supplementary Legal Opinion or indicated by the context, the terms and abbreviations used herein shall have the same meanings as those used in the "Legal Opinion." The Firm will not reiterate the content already stated in the "Legal Opinion."
Statement Matters
I. The Firm and its acting lawyers have strictly performed their statutory duties and adhered to the principles of diligence, conscientiousness, and good faith in accordance with the "Securities Law," "Administrative Measures for Lawyers Engaging in Securities Legal Business," and "Practice Rules for Lawyers Engaging in Securities Legal Business (Trial)" and other relevant regulations, as well as the facts that have occurred or existed prior to the issuance of this Supplementary Legal Opinion. They have conducted thorough verification and ensured that the facts identified in this Supplementary Legal Opinion are true, accurate, and complete, and that the conclusions expressed are legal and accurate, without any false records, misleading statements, or material omissions, and they bear corresponding legal responsibilities.
