Announcement of Resolutions of the 27th Meeting of the Fourth Board of Directors

The 27th Meeting of the Fourth Board of Directors of Shenzhen Guanghetong Wireless Co., Ltd. (hereinafter referred to as the "Company") was convened on August 7, 2026, following a notice issued on August 4, 2026. The meeting was held through a combination of on-site and teleconference methods. A total of 7 directors were eligible to attend, and all 7 directors participated. Directors Xu Ning, Chen Yinghua, Zhao Jing, Wang Ning, and Wu Chenggang attended the meeting via teleconference. All senior management personnel of the Company attended the meeting. The meeting was presided over by Chairman Zhang Tianyu. The convening and holding of the Board meeting complied with relevant national laws, regulations, and the "Articles of Association" of the Company. After full discussion and deliberation, the meeting formed the following resolutions:
I. Resolution on Approving the Audit Report and Pro Forma Review Report for the Extended Period Related to the Transaction
The Company intends to acquire a 37.16% equity interest in Shenzhen Honsheng Electronics Co., Ltd. (hereinafter referred to as the "Target Company" or "Honsheng Electronics") by paying cash, and to gain control of the Target Company through an acting-in-concert agreement (hereinafter referred to as the "Transaction"). Upon completion of the Transaction, Honsheng Electronics will become a controlling subsidiary of the Company.
For the purpose of this Transaction, the Company engaged the auditing firm ZhiTong Certified Public Accountants (Special General Partnership) to conduct an extended period audit of Honsheng Electronics as of April 30, 2026, and to issue the "Shenzhen Honsheng Electronics Co., Ltd. 2024, 2025, and 2026 January-April Audit Report" and the "Shenzhen Guanghetong Wireless Co., Ltd. 2025 and 2026 January-April Pro Forma Consolidated Financial Statements Review Report."
