Commitment Letter on Truthfulness, Accuracy, and Completeness of Information
Shenzhen Guanghe Tongda Wireless Co., Ltd. (hereinafter referred to as "the Listed Company" or "Guanghe Tongda") intends to acquire 37.16% of the shares of Shenzhen Hunsheng Electronics Co., Ltd. (hereinafter referred to as "the Target Company" or "Hunsheng Electronics") by paying cash, and simultaneously control the Target Company through an acting-in-concert agreement (hereinafter referred to as "this Transaction"). Upon completion of this Transaction, Guanghe Tongda will become the controlling shareholder of Hunsheng Electronics, and the actual controller of Hunsheng Electronics will be changed to Zhang Tianyu.
Zhang Tianyu, Ying Lingpeng, Xu Ning, and Chen Yinghua are non-independent directors of the fourth board of directors of Guanghe Tongda. Wang Ning, Zhao Jing, and Wu Chenggang are independent directors of the fourth board of directors of Guanghe Tongda. Wang Hongyan and Chen Shijiang are current senior management personnel of Guanghe Tongda. All the above parties are collectively referred to as the "Commitment Parties."
The Commitment Parties hereby make the following commitments regarding all information provided for this Transaction:
- The information, documents, and materials provided by me in the course of this Transaction are true, accurate, and complete. I guarantee that there are no false records, misleading statements, or major omissions, and I shall bear individual and joint legal liability for the truthfulness, accuracy, and completeness of the information, documents, and materials provided.
