Zhongda An Co., Ltd. (hereinafter referred to as the "Company") held the 16th meeting of the Fifth Board of Directors on July 14, 2026, which reviewed and approved the "Proposal on Capital Increase and Share Expansion of a Controlled Subsidiary and the Company's Waiver of Preemptive Subscription Rights." It was agreed that the Company's controlled subsidiary, Desun Krolod (Shandong) New Energy Co., Ltd. (hereinafter referred to as "Desun New Energy"), would undergo capital increase and share expansion, increasing its registered capital from RMB 3 million to RMB 15.3 million.
Zhongda An New Energy Co., Ltd., a wholly-owned subsidiary of the Company (hereinafter referred to as "Zhongda An New Energy"), waived its preemptive subscription rights for this capital increase in Desun New Energy. The newly added registered capital of RMB 12.3 million will be fully subscribed by Qingyun Guanghe New Energy Co., Ltd. (Shandong) (hereinafter referred to as "Qingyun New Energy").
