Supplementary Legal Opinion (I)
To: CaiXun Technology Co., Ltd.
Beijing King & Wood Mallesons Law Firm (hereinafter referred to as "the Firm") has been engaged by CaiXun Technology Co., Ltd. (hereinafter referred to as "CaiXun Shares" or "the Issuer") to serve as the special legal counsel for the Issuer's current issuance of convertible corporate bonds to unspecified targets (hereinafter referred to as "the Current Issuance").
The Firm, in accordance with the Securities Law of the People's Republic of China (hereinafter referred to as "the Securities Law"), the Company Law of the People's Republic of China, the Administrative Measures for the Registration of Issuance of Securities by Listed Companies, the Administrative Measures for Law Firms Engaging in Securities Legal Business, the Practice Rules for Securities Legal Business of Law Firms (Trial) (hereinafter referred to as "Practice Rules"), the Disclosure Information Compilation Rules for Publicly Offered Securities No. 12 — Legal Opinions and Lawyers' Reports on Publicly Offered Securities (CSRC Issuance [2001] No. 37) (hereinafter referred to as "Disclosure Rules No. 12"), and other currently effective laws, administrative regulations, rules, and normative documents within the territory of the People's Republic of China (hereinafter referred to as "Mainland China," including the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan Province, solely for the purpose of applying the relevant laws and regulations involved in this Supplementary Legal Opinion), and the relevant regulations of the China Securities Regulatory Commission (hereinafter referred to as "CSRC"), in accordance with the generally accepted business standards, ethical norms, and the principle of diligence and responsibility of the legal profession, issued the "Lawyers' Report on Beijing King & Wood Mallesons Law Firm Regarding CaiXun Technology Co., Ltd.'s Issuance of Convertible Corporate Bonds to Unspecified Targets and Listing on the Shenzhen Stock Exchange" (hereinafter referred to as "Lawyers' Report") and the "Legal Opinion on Beijing King & Wood Mallesons Law Firm Regarding CaiXun Technology Co., Ltd.'s Issuance of Convertible Corporate Bonds to Unspecified Targets and Listing on the Shenzhen Stock Exchange" (hereinafter referred to as "Legal Opinion") on April 23, 2026.
The Firm now issues this Supplementary Legal Opinion in accordance with the requirements of the "Inquiry Letter on CaiXun Technology Co., Ltd.'s Application for Issuance of Convertible Corporate Bonds to Unspecified Targets and Listing on the Shenzhen Stock Exchange" (Review Letter [2026] No. 020045) (hereinafter referred to as "Inquiry Letter") issued by the Listing Review Center of the Shenzhen Stock Exchange on May 19, 2026.
The premises and assumptions made by King & Wood Mallesons in the "Legal Opinion" and "Lawyers' Report" also apply to this Supplementary Legal Opinion. Unless otherwise specified, the definitions used in this Supplementary Legal Opinion are the same as those in the "Legal Opinion" and "Lawyers' Report."
This Supplementary Legal Opinion is for the sole purpose of the Issuer's current issuance and shall not be used for any other purpose. King & Wood Mallesons agrees that this Supplementary Legal Opinion will be used as a necessary legal document for the Issuer's current issuance application, submitted together with other application materials, and is willing to bear the corresponding legal responsibilities.
