2025 Annual Report of Independent Director (Zhou Xin - Resigned)
Dear shareholders and shareholder representatives:
As an independent director of Guangdong Tosida Technology Co., Ltd. (hereinafter referred to as "the Company" or "Tosida"), I have strictly adhered to the requirements of the "Self-Regulatory Guidelines for Listed Companies on the Shenzhen Stock Exchange No. 2 - Normative Operations of GEM Listed Companies," as well as relevant provisions in the "Articles of Association" and "Working Rules for Independent Directors." By diligently fulfilling my responsibilities as an independent director, I have effectively safeguarded the overall interests of the Company and the legitimate rights and interests of all shareholders.
Due to personal reasons, I will no longer serve as an independent director or hold any positions on the board's specialized committees starting January 15, 2026. Below is my report on the performance of my duties as an independent director for the year 2025:
I. Basic Information
I, Zhou Xin, was born in 1965, hold Chinese nationality, and do not have permanent residency abroad. I have a bachelor's degree and am a certified public accountant and asset appraiser. My work experience includes:
- From September 1990 to April 1992, I served as the chief accountant at Sichuan Qu County Food Company.
- From May 1992 to May 1994, I worked as an auditor at the Sichuan Qu County Commercial Bureau.
- From June 1994 to January 1997, I was the deputy section chief at PetroChina Sichuan Qu County Petroleum Company.
- From February 1997 to December 1999, I was a project manager at Dongguan City Audit Firm.
- From January 2000 to October 2006, I was a project manager at Dongguan Dexin Kang Accounting Firm.
- From March 2015 to August 7, 2023, I served as a supervisor at Earth Village Tongyi Technology (Shenzhen) Co., Ltd.
- From March 2020 to December 13, 2023, I was a supervisor at Guangdong Jianshui Information Technology Co., Ltd.
- From February 2009 to March 28, 2024, I served as a supervisor at Dongguan Xincheng Tax Firm.
- Since November 2006, I have been a department manager at Dongguan Xincheng Accounting Firm (General Partnership).
- Since April 2017, I have been a supervisor at Guangdong Dewai Investment Management Co., Ltd.
- Since March 2019, I have been a supervisor at Guangzhou Juxincheng Information Technology Co., Ltd.
- Since April 2021, I have been a supervisor at Zhongjian (Dongguan) Management Co., Ltd.
- Since March 23, 2023, I have been a supervisor at Youshangsi (Shanghai) Tax Consulting Co., Ltd.
- Since March 2014, I have been the executive director, manager, and legal representative of Zhongzong Project Management (Guangzhou) Co., Ltd.
- Since September 2015, I have been a director at Chuangrui Equipment Intelligent Manufacturing (Xi'an) Co., Ltd.
- Since August 2015, I have been the executive director, manager, and legal representative of Guangdong Lvzhe Intelligent Technology Co., Ltd.
- Since March 2016, I have been the executive director, manager, and legal representative of Baishi Qijia (Dongguan) Management Co., Ltd.
- Since February 2021, I have been the executive director, manager, and legal representative of Guangdong Jiekai Technology Co., Ltd.
- Since December 2021, I have been a manager and director at Guangzhou Jinbao Technology Co., Ltd.
- Since December 2023, I have been a supervisor at Zhongzong Growth (Dongguan) Management Co., Ltd.
- Since March 2019, I have been the operator of Dongguan Nancheng Xinyi Enterprise Management Consulting Service Department.
- I served as an independent director of the Company from July 2023 to January 2026.
During the reporting period, my position met the independence requirements stipulated in Article 6 of the "Management Measures for Independent Directors of Listed Companies," and there were no circumstances affecting my independence.
