I. Overview of External Investment
Xinjiang Hualing Information Technology Co., Ltd. (hereinafter referred to as "Hualing Information" or "the Company") aims to actively seize the opportunities of the digital economy development, adapt to the trend of deep integration of artificial intelligence and the real economy, promote the extension of the Company from software application to AI hardware infrastructure, and leverage the locational advantages of its headquarters in Xinjiang to build a full industry chain layout from software application to AI hardware, fostering new profit growth points. The Company plans to jointly invest with Bo'erjin County Xinyunsuan Technology Co., Ltd. (hereinafter referred to as "Xinyunsuan") to establish Xinjiang Hualing Xinyun Intelligent Computing Industry Development Co., Ltd. (the name is subject to the final approval of the industrial and commercial registration authority, hereinafter referred to as "Hualing Xinyun" or "the Joint Venture Company"). This name is adjusted from the previously announced "Xinjiang Hualing Xinyun Intelligent Computing Technology Co., Ltd." based on the pre-approved industrial and commercial registration result. Hualing Xinyun's registered capital is planned to be RMB 20 million. The Company plans to invest RMB 11 million with its own funds, holding a 55% equity interest in Hualing Xinyun; Xinyunsuan will invest RMB 9 million with its own funds, holding a 45% equity interest in Hualing Xinyun. II. Progress of External Investment and Signing of Cooperation Agreement
Recently, the Company and Xinyunsuan signed the "Cooperation Agreement" (hereinafter referred to as "the Agreement"). The two parties plan to jointly establish the Joint Venture Company Hualing Xinyun through prior joint investment and carry out cooperation in the field of computing power infrastructure operation.
