(I) Background of the Private Placement of Shares to Specific Objects
The projects for which the company is raising funds through this issuance include the Guangzhou production base construction project and the Thailand processing base construction project. These projects represent a strategic layout based on the company's core business of photosensitive electronic chemicals, responding to the national strategy for the self-reliance and controllability of the electronic information industry, aligning with the trend of downstream industries moving towards high-end and globalization, and leveraging years of accumulated technological expertise. The goal is to further optimize the product structure, improve global production capacity and supply chain layout, and better meet the growing product and delivery demands of downstream customers.
1. National Policies Strongly Support the Self-Reliance and Controllability of the Electronic Chemicals Industry, Ushering in a Strategic Opportunity Period for the Domestic Replacement of Photoresists
Photoresist is a key material in photolithography processes, used in critical sectors such as PCBs, semiconductors, and flat panel displays, which are vital to the national economy and industrial development. Since the 21st century, global PCB, semiconductor, and display production capacity has gradually shifted to Asia, particularly mainland China, driving rapid growth in domestic demand for upstream supply chains. The downstream electronic information industry has long been a focus of policy support, and with top-level planning, the industry's development dividends continue to be released.
On March 13, 2026, the "Outline of the 14th Five-Year Plan for National Economic and Social Development and the Long-Range Objectives Through 2035" (hereinafter referred to as the "14th Five-Year Plan") was released, emphasizing the acceleration of high-level scientific and technological self-reliance and self-improvement, leading the development of new quality productive forces, and achieving decisive breakthroughs in key core technologies in integrated circuits, industrial mother machines, and high-end instrumentation. The "14th Five-Year Plan" also stressed the need to accelerate digital and intelligent technologies such as artificial intelligence, and to foster clusters of strategic emerging industries such as new energy, aerospace, and low-altitude economy. It also called for a forward-looking layout of future industries like embodied intelligence and the sixth generation of mobile communication (6G), cultivating new economic growth points and comprehensively expanding the downstream application market for photoresists.
Meanwhile, against the backdrop of intensifying global technological competition and increasing demands for supply chain security, national-level policies have continued to strengthen support for key electronic chemicals like photoresists, promoting industrial transformation and upgrading. Benefiting from these policy dividends, leading domestic companies, represented by the company, have made certain breakthroughs in the research and development of high-end photoresist products. The domestic substitution rate is expected to further increase, and the photoresist industry is entering a period of rapid strategic development opportunities.
