Management Measures for the Implementation Assessment of the 2026 Restricted Stock Incentive Plan of Zhongfutong Group Co., Ltd.
Zhongfutong Group Co., Ltd. (hereinafter referred to as "the Company") aims to further improve its corporate governance structure, enhance its incentive and constraint mechanisms, and establish a balanced value distribution system. This is intended to fully motivate the Company’s directors, senior management, core management personnel, and key employees to work diligently and honestly, ensuring steady performance improvement and the realization of the Company’s development strategy and operational goals. The Company plans to implement the 2026 Restricted Stock Incentive Plan (hereinafter referred to as "the Equity Incentive Plan" or "the Restricted Stock Incentive Plan" or "this Incentive Plan"). To ensure the smooth implementation of the Equity Incentive Plan, this management measure is formulated based on relevant laws, regulations, and normative documents, including the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Management Measures for Equity Incentives of Listed Companies, and the Self-Regulatory Guidelines for the Listing of Companies on the Shenzhen Stock Exchange, as well as the Company’s articles of association and the relevant provisions of this Equity Incentive Plan, combined with the actual situation of the Company.
1. Purpose of Assessment
To further improve the corporate governance structure, establish and enhance the incentive and constraint mechanisms of the Company, ensure the smooth implementation of the Equity Incentive Plan, and maximize the effectiveness of equity incentives, thereby ensuring the realization of the Company’s development strategy and operational goals.
2. Principles of Assessment
The assessment must adhere to the principles of fairness, openness, and impartiality, strictly evaluating according to this measure and the performance of the assessment targets. This aims to closely link the Equity Incentive Plan with the work performance and contributions of the incentive targets, thereby improving the overall performance of the Company and maximizing the interests of all shareholders.
