Independent Director's Annual Work Report for 2025 (Cao He)

I, Cao He, as the Independent Director of Beijing Wanji Technology Co., Ltd. (hereinafter referred to as "the Company"), have fulfilled my responsibilities in accordance with the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, the Shenzhen Stock Exchange's Self-Regulatory Guidelines No. 2 for Listed Companies on the Growth Enterprise Market, the Company's Articles of Association, and the Independent Director Work System. During my term in 2025, I regularly monitored the Company's operations, diligently performed my duties as an Independent Director, actively attended relevant meetings, carefully reviewed meeting proposals and related materials, participated in discussions on various topics, and provided many reasonable suggestions. I expressed independent opinions on matters related to the Board of Directors, fully exercised the role of an Independent Director, and worked hard to protect the overall interests of the Company and the legitimate rights and interests of all shareholders, especially minority shareholders. The following is my report on the performance of my duties as an Independent Director for 2025:

I. Basic Information of the Independent Director

I, Cao He, was born in November 1965, hold Chinese nationality, and have no permanent residency abroad. I graduated from the School of Business Administration of Renmin University of China with a Ph.D. in Economics and am a senior economist and an expert in the automotive industry. I previously worked at China National Automotive Industry Corporation, serving as the secretary to the general manager and deputy general manager of a secondary company. From June 2000 to October 2016, I worked at China Minzu Securities Co., Ltd., serving as the deputy general manager of the Research and Development Center, general manager, and chief analyst for the automotive industry. Since October 2016, I have been the president of All-China Vehicle Merchants Investment Management (Beijing) Co., Ltd. I have published over 30 articles in major newspapers and magazines such as China Securities Journal, Economic Observer, Securities Market Weekly, and Securities Guide. I have served as an Independent Director of Beijing Wanji Technology Co., Ltd. since March 2024. During my tenure as an Independent Director, I have not held any position other than Independent Director in the Company, nor have I held any position in the Company's major shareholders. There are no relationships that hinder my ability to make independent and objective judgments, and I meet the independence requirements outlined in the relevant laws, regulations, and normative documents regarding Independent Directors.

II. Performance of Duties in 2025

(1) Attendance at Board and Shareholder Meetings

During my term in 2025, I actively participated in the Company's shareholder and board meetings. Prior to the meetings, I carefully reviewed the meeting materials and communicated with the Company’s board secretary and other senior management as necessary to inquire and supplement information regarding the matters to be discussed. I also visited the Company on-site to understand its operational status, the construction of internal controls, and the execution of board and shareholder resolutions, while paying attention to the impact of external environmental changes on the Company. Utilizing my professional knowledge and abilities, I provided independent, objective, and fair opinions on the Company's daily operations, the appointment of auditing firms, and expected related-party transactions during the reporting period, positively contributing to the board's scientific and objective decision-making and the Company's healthy development, effectively safeguarding the overall interests of the Company. The attendance record for board and shareholder meetings is as follows:
