2025 Annual Report of Independent Director (Chen Minghong)
I, Chen Minghong, as the independent director of Sichuan Shudao Equipment Technology Co., Ltd. (hereinafter referred to as "the Company"), have diligently fulfilled my responsibilities during my tenure in accordance with the requirements of the Company Law, Securities Law, Guidelines for Corporate Governance of Listed Companies, and the Management Measures for Independent Directors of Listed Companies, as well as the Company’s Articles of Association and the Independent Director Work System. I have actively attended the Company’s board meetings, specialized committees, and independent director meetings, carefully reviewed various proposals, and provided fair and objective opinions on significant matters discussed in relevant meetings, thereby safeguarding the standardized operation of the Company and the overall interests of all shareholders. I have served as an independent director since May 7, 2025, and hereby report on my performance for the year 2025.
I. Basic Information of Independent Director
(1) Personal Work Experience, Professional Background, and Concurrent Positions
Chen Minghong, male, Han nationality, member of the Chinese Peasants' and Workers' Democratic Party, born in April 1976, without permanent residency abroad, holds a master's degree in social sciences from Lincoln University, New Zealand. I began my career in July 1998 and previously served as a teaching assistant in the Department of Information Management at Zhengzhou University of Aeronautics. I am currently an associate researcher in rural development at the Sichuan Academy of Social Sciences and an independent director of Sichuan Shudao Equipment Technology Co., Ltd.
(2) Independence Statement
I meet the independence requirements as stipulated in the Management Measures for Independent Directors of Listed Companies and the Guidelines for Corporate Governance of Listed Companies, and I have conducted an independence self-assessment in accordance with regulatory rules. As an independent director, I am not influenced by the Company’s controlling shareholders, actual controllers, or any other entities or individuals with interests related to the Company, nor are there any other circumstances that affect my independent and objective judgment. The report on the self-assessment has been submitted to the Company’s board of directors.
II. Performance Overview for 2025
(1) Attendance at Board and Shareholder Meetings
During my tenure in 2025, the Company held 8 board meetings and 2 shareholder meetings. As the independent director, I actively participated in these meetings, diligently reviewed the meeting proposals and related materials, engaged in discussions, and provided reasonable suggestions, contributing positively to the board's correct and scientific decision-making. I voted in favor of all proposals discussed at the board meetings and did not authorize other independent directors to attend meetings on my behalf, nor did I raise any objections to the Company’s matters.
