I. Overview of Joint Investment with Professional Investment Institutions
Shenzhen Today International Logistics Technology Co., Ltd. (hereinafter referred to as the "Company") convened the 21st meeting of its Fifth Board of Directors on December 12, 2025, and approved the "Proposal on Joint Investment with Professional Investment Institutions." The Company agreed to jointly invest with professional investment institutions Shenzhen Songhe Growth Private Equity Fund Management Co., Ltd., The University of Hong Kong (Shenzhen) Asset Management Co., Ltd., Shenzhen Angel Investment Guidance Fund Co., Ltd., and Shenzhen Longgang District Guidance Fund Investment Co., Ltd. to establish the industrial fund Shenzhen Hong Kong Deep Songhe No. 1 Seed Private Equity Investment Partnership (Limited Partnership) (hereinafter referred to as the "Industrial Fund" or "Partnership"). A partnership agreement was signed, with a fund size of RMB 100 million. The Company, as a limited partner of the Industrial Fund, subscribed for RMB 17 million in capital contributions with its own funds, accounting for 17% of the total subscribed capital of the Partnership.
