Announcement on the Resolutions of the Second Meeting of the Sixth Board of Directors
I. Convening of the Board Meeting
The notice for the second meeting of the sixth board of directors of Shenzhen Today International Logistics Technology Co., Ltd. (hereinafter referred to as the "Company") was issued to all directors on July 11, 2026, via verbal and telephone communication. The meeting was held on July 12, 2026, through a combination of on-site and telecommunication voting. All directors unanimously agreed to waive the three-day notice period requirement.
The meeting was attended by 6 out of 6 directors, with 3 attending on-site. Directors Xu Feng, Yang Gaoyu (Independent Director), and Mao Rui (Independent Director) attended via telecommunication due to work arrangements. The meeting was chaired by Chairman Shao Jianfeng, and Board Secretary Yang Jinping attended as a non-voting participant. The convening and procedures of the meeting complied with relevant laws, administrative regulations, normative documents, and the Articles of Association.
II. Deliberations of the Board Meeting
The following proposals were reviewed and approved:
- Approval of the "2026 Restricted Stock Incentive Plan (Draft)" and its Summary
The Board believes that the implementation of the equity incentive plan is conducive to the company's sustainable development and the formation of a long-term incentive mechanism for core talent, without harming the interests of the company and all shareholders. The incentive targets for the initial grant under this plan meet the requirements stipulated by relevant laws, regulations, and normative documents. For details, please refer to the "2026 Restricted Stock Incentive Plan (Draft)" and its summary disclosed on the Juchao Information website on the same day.
Directors Liu Chengkai and Xu Feng, as incentive targets, recused themselves from voting on this proposal.
Voting results: 4 votes in favor, 0 against, 0 abstentions; the proposal was passed.
This proposal has been reviewed and approved by the second meeting of the Nomination and Remuneration Committee of the sixth board of directors.
This proposal is subject to approval by the general meeting of shareholders.
- Approval of the "2026 Restricted Stock Incentive Plan Implementation and Assessment Management Measures"
The Board believes that the formulated assessment management measures are comprehensive, integrated, and operable, providing effective incentives and constraints for the participants. - Approval of the Proposal to Authorize the Board of Directors to Handle Matters Related to the 2026 Restricted Stock Incentive Plan
