Happy Blue Sea Film and Television Culture Group Co., Ltd. (hereinafter referred to as the "Company" or "Happy Blue Sea") has compiled statistics on the cumulative litigation and arbitration matters involving the Company and its wholly-owned and controlled subsidiaries in accordance with the relevant provisions of the "Rules Governing the Listing of Stocks on the ChiNext Market of the Shenzhen Stock Exchange." The statistical situation is hereby announced as follows:
I. Basic Situation of Cumulative Litigation and Arbitration Cases within Twelve Months
In accordance with the "Rules Governing the Listing of Stocks on the ChiNext Market of the Shenzhen Stock Exchange" (hereinafter referred to as the "Rules"), the Company's litigation and arbitration matters are calculated on a cumulative basis over a twelve-month period, reaching the relevant disclosure standards of the Rules. As of the date of this announcement, the cumulative amount of undisclosed litigation involving the Company and its subsidiaries within twelve months totals RMB 3,923.58 million (excluding amounts with unclear case details), accounting for 10.12% of the absolute value of the Company's net assets as of the most recent audited period (RMB 38,788.39 million). Among these, there are 2 litigation and arbitration cases where the Company and its wholly-owned and controlled subsidiaries are plaintiffs or applicants, involving a total amount of RMB 3,814.43 million, as detailed in Appendix I. There are 3 litigation and arbitration cases where the Company and its wholly-owned and controlled subsidiaries are defendants or respondents, involving a total amount of RMB 109.15 million, as detailed in Appendix II.
II. Basic Situation of Cumulative Litigation and Arbitration Cases Not Yet Concluded
As of the date of this announcement, there are no other litigation or arbitration cases involving the Company and its wholly-owned and controlled subsidiaries that should be disclosed but have not been disclosed.
