Beijing Saiseng Pharmaceutical Co., Ltd. (hereinafter referred to as "the Company") held the 13th meeting of the 5th Board of Directors on March 29, 2026, and approved the proposal regarding the application for comprehensive credit from financial institutions and the provision of guarantees for its subsidiary. The details are as follows:
I. Overview of the Credit and Guarantee
To meet the operational and future development needs of the Company and its subsidiary, Shenyang Junyuan Pharmaceutical Co., Ltd. (hereinafter referred to as "Junyuan Pharmaceutical" or "the Subsidiary"), the Company intends to apply for a comprehensive credit limit not exceeding 200 million yuan from financial institutions. The Company plans to provide a joint liability guarantee for Junyuan Pharmaceutical's bank credit application of 100 million yuan, with the authorization period effective for twelve months from the date of approval by the Board of Directors. The Board of Directors authorizes the Chairman or a designated agent to sign relevant credit and guarantee agreements on behalf of the Company. The aforementioned credit limit does not equal the actual financing or guarantee amount of the Company; specific financing types, terms, etc., will be subject to the actual signed agreements. Within the aforementioned guarantee limit, the specific guarantee amount and term will be determined according to the contracts between the Company, its subsidiary, and the relevant financial institutions. During the authorization period, the actual credit and guarantee limits may be used in a revolving manner within the authorized scope. If the actual amount exceeds the authorized range, the excess portion must be submitted for approval by the Board of Directors or the shareholders' meeting again. According to the relevant provisions of the Shenzhen Stock Exchange's GEM Listing Rules and the Company's Articles of Association, this application for credit and guarantee is within the Board's review authority and does not require submission to the shareholders' meeting.
