I. Deliberation Procedures
Guangzhou Wondfo Biotech Co., Ltd. (hereinafter referred to as the "Company") held the twenty-third meeting of the Fifth Board of Directors on April 22, 2026, and deliberated and approved the Company's "2025 Annual Profit Distribution Plan".
II. Basic Situation of the Profit Distribution and Capital Reserve to Share Capital Conversion Plan
According to the audit by Lixin Certified Public Accountants (Special General Partnership), the consolidated net profit attributable to shareholders of listed companies in 2025 was -6,302.49 million RMB. The parent company's net profit was -9,633.58 million RMB. According to the Company Law and the Company's Articles of Association, as of December 31, 2025, the distributable profit on the consolidated statement was 329,561.49 million RMB, and the distributable profit on the parent company statement was 338,719.58 million RMB. According to the "Self-Regulatory Guidelines for Listed Companies on the Shenzhen Stock Exchange No. 2 - Standardized Operation of GEM Companies" and other regulations, based on the principle of the lower of distributable profit on the consolidated statement and the parent company statement, the Company's distributable profit for this year is 329,561.49 million RMB.
Based on the Company's actual operating conditions, the Company's 2025 profit distribution plan is as follows: The Company plans to use the total share capital on the equity registration date for the implementation of the 2025 profit distribution plan, excluding the shares repurchased by the Company through centralized bidding transactions and those that do not participate in profit distribution according to law, as the base. A cash dividend of RMB 2.2 (tax inclusive) will be distributed for every 10 shares to all shareholders, and the remaining undistributed profits will be carried forward to the next year. The estimated total dividend distribution is RMB 102,663,814.66.
