- Anhui Chengyi Law Firm has been entrusted by Shannon Chip Creation Technology Co., Ltd. (hereinafter referred to as "Shannon Chip Creation" or "the Company") to issue a legal opinion regarding the convening of the 2025 Annual Shareholders' Meeting (hereinafter referred to as "the Meeting"). This opinion is issued in accordance with the requirements of the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, and the Rules for Shareholders' Meetings of Listed Companies.
I. Qualification of the Meeting Convener and Procedures for Convening
Upon verification, the Meeting was convened by the fifth board of directors of Shannon Chip Creation. The Company disclosed the "Notice of the 2025 Annual Shareholders' Meeting of Shannon Chip Creation Technology Co., Ltd." on April 24, 2026, on the information disclosure website designated by the China Securities Regulatory Commission and the Shenzhen Stock Exchange. The on-site meeting was held as scheduled on May 28, 2026, at 14:50 in the conference room on the 22nd floor of Building B, Aerospace Science and Technology Plaza, No. 166 Haide 3rd Road, Nanshan District, Shenzhen. The qualifications of the convener and the procedures for convening and holding the Meeting comply with the provisions of laws, regulations, normative documents, and the Company's articles of association.
