1. Overview of Related Transactions
On March 30, 2026, Beijing Konstar Instrument Technology Co., Ltd. (hereinafter referred to as "the Company" or "Konstar") held the 12th meeting of the 6th Board of Directors, where it approved the proposal on expected daily related transactions for 2026. Based on the Company's collaborative business expansion needs, the total amount of daily related transactions with its controlling subsidiary, Nanjing Mingde Software Co., Ltd. (hereinafter referred to as "Mingde Software"), is expected to not exceed 10 million yuan. Related directors Mr. Jiang Weili, Mr. He Xin, Mr. Zhao Mingjian, and Mr. Zhao Shichun abstained from voting. The independent directors provided prior approval and expressed their consent regarding the daily related transactions. This daily related transaction does not constitute a major asset reorganization as defined by the "Administrative Measures for Major Asset Restructuring of Listed Companies."
