1. Sponsor Institution and Sponsor Representatives Declaration
Zhongtai Securities Co., Ltd. (hereinafter referred to as "the Sponsor" or "Zhongtai Securities") accepts the entrustment of Jinlei Technology Co., Ltd. (hereinafter referred to as "Jinlei" or "the Company") to act as the sponsor for Jinlei's private placement of A-shares (hereinafter referred to as "the Project"). The designated sponsor representatives are Chi Yuanxing and Zhang Jingqun. This document is issued to the Shenzhen Stock Exchange as the issuance sponsorship letter for this project. The Sponsor and the project representatives declare that they will act in good faith, diligently, and responsibly, in accordance with the relevant laws and regulations, including the Company Law of the People's Republic of China, the Securities Law of the People's Republic of China, and the relevant provisions of the China Securities Regulatory Commission (CSRC) and the Shenzhen Stock Exchange (SZSE). They guarantee the authenticity, accuracy, and completeness of the documents provided. Unless otherwise specified, the abbreviations or definitions used in this issuance sponsorship letter have the same meanings as those in the "Prospectus for Jinlei Technology Co., Ltd.'s 2026 Private Placement of Shares."
