Implementation Assessment Management Measures for the 2026 Restricted Stock Incentive Plan
Guangzhou Penghui Energy Technology Co., Ltd. (hereinafter referred to as "the Company") has formulated the "Draft of the 2026 Restricted Stock Incentive Plan" (hereinafter referred to as "the Incentive Plan") to further improve the company's governance mechanism, enhance overall company value, establish a development sharing mechanism, promote the achievement of strategic goals, and improve the compensation incentive system. The plan is based on the principles of legality, compliance, promoting development, incentivizing constraints, and being pragmatic.
To ensure the smooth implementation of the Incentive Plan, this management measure is formulated in accordance with relevant laws, administrative regulations, rules, normative documents, and the "Articles of Association of Guangzhou Penghui Energy Technology Co., Ltd." (hereinafter referred to as "the Articles of Association"), combined with the actual situation of the company.
1. Purpose of Assessment
The purpose of this management measure is to strengthen the planning of the Incentive Plan's execution, promote scientific, standardized, and institutionalized assessment management, ensure the achievement of various performance indicators of the Incentive Plan, and maximize the effectiveness of equity incentives. It also aims to guide the incentive participants to improve work performance, enhance work capabilities, and provide an objective and fair evaluation of employee performance and contributions, thereby providing an objective and comprehensive evaluation basis for the execution of the Incentive Plan.
2. Principles of Assessment
- The assessment and evaluation must adhere to the principles of fairness, impartiality, and openness, and must be objectively evaluated strictly according to this management measure and the work performance of the assessed individuals.
- The assessment indicators must be closely integrated with the company's medium- and long-term development strategy, annual operational goals, and the key work performance and contributions of the incentive participants, thereby enhancing the overall performance of the company.
3. Scope of Assessment
This management measure applies to all incentive participants involved in the Incentive Plan, including the company's directors, senior management, core employees, and other employees deemed necessary for incentivization by the company, who have a direct impact on the company's operational performance and future development.
