Chapter 1 General Provisions
Article 1
Kunlun Tech Co., Ltd. (hereinafter referred to as the "Company"), based on the principles of openness, fairness, and justice for all shareholders, and to protect the interests of the Company's shareholders, creditors, and stakeholders, hereby formulates this System. This System aims to disclose in a timely, accurate, truthful, and complete manner all information that may have a significant impact on the trading price of the Company's shares and derivative products, and to prevent the leakage of important information before its announcement. This System is formulated in accordance with the "Company Law of the People's Republic of China," the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), the "Administrative Measures for Information Disclosure by Listed Companies" (hereinafter referred to as the "Administrative Measures"), the "Shenzhen Stock Exchange GEM Stock Listing Rules" (hereinafter referred to as the "GEM Listing Rules"), the "Shenzhen Stock Exchange Listed Company Self-Regulatory Guidelines No. 5 - Information Disclosure Affairs Management," the "Hong Kong Stock Exchange Listing Rules" (hereinafter referred to as the "Hong Kong Listing Rules"), and other relevant laws, regulations, normative documents, and the "Articles of Association of Kunlun Tech Co., Ltd."
This System applies to the management, disclosure, and confidentiality of information regarding acts or events that may have a significant impact on the Company's stock price.
Chapter 2 Basic Principles of Information Disclosure
Article 2 Principles of Information Disclosure
(1) Disclose in a timely manner all information that may have a significant impact on the Company's stock price;
(2) Ensure that the content of information disclosure is true, accurate, complete, and timely, without any false, misleading, or major omissions;
(3) Ensure the fairness of information disclosure, guarantee that all shareholders have an equal opportunity to obtain information, and prohibit premature disclosure to any unit or individual.
(4) If the Company postpones or exempts disclosure of information, it shall comply with the provisions of laws, administrative regulations, and the securities regulatory rules of the Company's stock listing place.
Article 3
The information disclosed by the Company shall be easy to understand, use factual descriptive language, and concisely and clearly explain the true situation of the event. Information disclosure documents shall not contain promotional, advertising, or flattering language; the Company shall ensure that users can obtain information through convenient and economical means (such as securities newspapers and the internet).
Article 4
The Company, its directors, and senior management personnel shall faithfully and diligently perform their duties and ensure that the disclosed information is true, accurate, complete, timely, and fair. The content of the Company's and directors' guarantees shall be stated in the announcement as an important reminder.
Article 5
If the Company and its actual controllers, shareholders, related parties, directors, senior management personnel, acquirers, asset transaction counterparties, bankruptcy and restructuring investors, and other related parties make public commitments, they shall disclose them in a timely manner and fulfill them completely.
Article 6
Before inside information is legally disclosed, no insider shall disclose or leak such information, nor shall they use such information for insider trading. No unit or individual shall illegally demand that the Company provide information that needs to be disclosed according to law but has not yet been disclosed.
Article 7
Information disclosed by the Company according to law shall be published on the website of the stock exchange where the Company's shares are listed and on media that meet the conditions stipulated by the securities regulatory authority of the Company's stock listing place. At the same time, it shall be kept at the Company's domicile and the stock exchange where the Company's shares are listed for public inspection.
