China Energy Conservation Guozhen Environmental Protection Technology Co., Ltd. (hereinafter referred to as the "Company") at its 11th meeting of the 8th Board of Directors held on June 15, 2026, deliberated and approved the "Proposal on Early Termination of the PPP Project Contract for Wuqiao County Urban Sewage Treatment Plant," agreeing to terminate the PPP project contract for the Wuqiao County Urban Sewage Treatment Plant early and authorizing the Company's management to sign an agreement with the relevant government units. The main situation is as follows:
I. Overview of Project Basic Situation
On February 1, 2018, the 32nd meeting of the 6th Board of Directors of the Company deliberated and approved the "Proposal on Investing in the PPP Project for Wuqiao County Urban Sewage Treatment Plant," agreeing to invest in the PPP project for Wuqiao County Urban Sewage Treatment Plant and authorizing the Company's management to sign an agreement with the relevant government units. For specific details, please refer to the "Announcement on Investing in the PPP Project for Wuqiao County Urban Sewage Treatment Plant" disclosed by the Company on February 1, 2018 (Announcement No.: 2018-020).
On February 8, 2018, authorized by the Wuqiao County People's Government, the Wuqiao County Housing and Urban-Rural Development Bureau and the Company (formerly known as "Anhui Guozhen Environmental Protection Technology Co., Ltd.") signed the "PPP Project Agreement for Wuqiao County Urban Sewage Treatment Plant" (hereinafter referred to as the "PPP Project Agreement"). In accordance with the agreement, the Company established Wuqiao Guozhen Sewage Treatment Co., Ltd. as the project company on March 12, 2018, and this project company inherited the rights and obligations under the PPP Project Agreement. The total contract price of this PPP project is 50 million yuan, with a concession period of 25 years (from June 30, 2018, to June 29, 2043). The designed treatment scale of Wuqiao County Urban Sewage Treatment Plant is 30,000 tons/day, and the sewage treatment price is 1.398 yuan/ton.
