Beijing Kangda Law Firm (hereinafter referred to as "this firm") has been entrusted by China Energy Conservation Guozhen Environmental Technology Co., Ltd. (hereinafter referred to as "the Company") to appoint lawyers from this firm to attend the Company's first extraordinary shareholders' meeting in 2026 (hereinafter referred to as "this meeting") and issue this legal opinion.
The lawyers of this firm have issued legal opinions regarding the convening and holding procedures of this meeting, the qualifications of the convener and attendees, the voting procedures, and the voting results based on the provisions of the Company Law of the People's Republic of China (hereinafter referred to as "the Company Law"), the Securities Law of the People's Republic of China (hereinafter referred to as "the Securities Law"), the Rules for Shareholders' Meetings of Listed Companies (hereinafter referred to as "the Shareholders' Meeting Rules"), the Implementation Rules for Online Voting at Shareholders' Meetings of Listed Companies on the Shenzhen Stock Exchange, and the Articles of Association of China Energy Conservation Guozhen Environmental Technology Co., Ltd. (hereinafter referred to as "the Articles of Association").
