Yishite Group Co., Ltd. Announcement on the Supplementary Agreement for Share Transfer and Partial Share Pledge by the Largest Shareholder

Today, Yishite Group Co., Ltd. (hereinafter referred to as "the Company" or "the Listed Company") received a notification from its controlling shareholder, Hubei Jingjiang Industrial Investment Group Co., Ltd. (hereinafter referred to as "Jingjiang Industrial"), the largest shareholder, Yangzhou Dongfang Group Co., Ltd. (hereinafter referred to as "Dongfang Group"), and Mr. He Simu. The aforementioned parties signed the "Supplementary Agreement on Related Share Transfer" (hereinafter referred to as "the Supplementary Agreement" or "this Agreement") on May 26, 2026. On the same day, Dongfang Group completed the share pledge registration for part of its shares in the Company. The relevant matters are announced as follows:
1. Overview of Share Transfer Matters
On December 8, 2025, the original shareholder, Guangdong Hengrui Equity Investment Partnership (Limited Partnership) (hereinafter referred to as "Guangdong Hengrui"), signed the "Share Transfer Agreement" (hereinafter referred to as "the Share Transfer Agreement") and related agreements with Dongfang Group, Mr. He Simu, and Jingjiang Industrial. Guangdong Hengrui intends to transfer 417,568,600 unrestricted circulating shares of the listed company (accounting for 17.93% of the total share capital of the Company) to Jingjiang Industrial through an agreement transfer. Dongfang Group will also transfer 16,860,914 shares of the listed company (accounting for 0.72% of the total share capital of the Company) that were originally pledged to Guangdong Hengrui to Jingjiang Industrial, resulting in Jingjiang Industrial acquiring a total of 434,429,514 shares of the listed company (accounting for 18.66% of the total share capital of the Company). On March 30, 2026, the transfer of shares was completed and registered. 2. Main Content of the Supplementary Agreement
On May 26, 2026, Jingjiang Industrial, Dongfang Group, and Mr. He Simu signed the "Supplementary Agreement," which supplements the aforementioned "Share Transfer Agreement." The main content of the Supplementary Agreement is as follows:
Party A: Hubei Jingjiang Industrial Investment Group Co., Ltd.
Party B: Yangzhou Dongfang Group Co., Ltd.
Party C: Mr. He Simu (hereinafter collectively referred to as "the Parties" or individually as "a Party")
