Silver Bond Metal Composite Materials Co., Ltd. 2026 Restricted Stock Incentive Plan Performance Assessment and Management Measures
To further establish and improve the long-term incentive mechanism of Silver Bond Metal Composite Materials Co., Ltd. (hereinafter referred to as the "Company"), attract and retain outstanding talents, fully mobilize the enthusiasm of senior management, middle management, and core technical (business) personnel, effectively align shareholder interests, company interests, and the interests of the core team, and ensure that all parties jointly focus on the company's long-term development. While fully protecting shareholder interests, in accordance with the principle of equal return for contribution, and based on the "Company Law of the People's Republic of China," "Securities Law of the People's Republic of China," "Management Measures for Equity Incentives of Listed Companies," and other relevant laws, regulations, and normative documents, as well as the "Articles of Association," the Company plans to implement the 2026 Restricted Stock Incentive Plan (hereinafter referred to as the "Equity Incentive Plan" or the "Incentive Plan").
To ensure the smooth implementation of the Company's Equity Incentive Plan, in accordance with relevant laws, administrative regulations, normative documents, and the "Articles of Association," and combined with the Company's actual situation, these Measures are hereby formulated.
Article 1 Assessment Objectives
The objective of formulating these Measures is to strengthen the planning of the Company's Equity Incentive Plan execution, quantify the specific objectives set by the Equity Incentive Plan, promote the scientific, standardized, and institutionalized management of incentive object assessments, ensure the achievement of the performance indicators of the Equity Incentive Plan; and at the same time guide incentive objects to improve work performance, enhance work capabilities, objectively and fairly evaluate employee performance and contributions, and provide an objective and comprehensive basis for the execution of the Incentive Plan.
