Announcement on the Resignation and Appointment of Chief Financial Officer

I. Resignation of Chief Financial Officer
The Board of Directors of Sinocare Inc. (hereinafter referred to as the "Company") recently received the written resignation report from Mr. He Mutzi, the Company's Chief Financial Officer. Mr. He Mutzi has applied to resign from his position as Chief Financial Officer of the Company due to personal work adjustments (original term: December 31, 2025, to December 30, 2028). After his resignation, he will no longer hold any positions in the Company.
In accordance with the provisions of the "Company Law," the "Rules Governing the Listing of Stocks on the ChiNext Market of the Shenzhen Stock Exchange," the "ChiNext Listed Company Self-Regulatory Management Guide No. 2 - Standardized Operation of ChiNext Listed Companies," and the "Articles of Association" of the Company, Mr. He Mutzi's resignation report shall take effect upon delivery to the Company's Board of Directors. Mr. He Mutzi has completed the handover of work in accordance with the Company's "Management System for Resignation of Directors and Senior Management Personnel" and relevant regulations. His resignation as Chief Financial Officer will not affect the Company's daily operations and management.
