I. Meeting Convening and Attendance

The notice for the First Extraordinary General Meeting of Beijing Leadingman Bio-Chem Co., Ltd. (hereinafter referred to as the "Company" or "this Company") was issued on June 13, 2026.

The meeting was convened through a combination of on-site voting and online voting.

Meeting Time:
(1) On-site meeting time: 2:00 PM on June 29, 2026 (Monday).
(2) Online voting time: Voting through the Shenzhen Stock Exchange trading system was from 9:15-9:25 AM, 9:30-11:30 AM, and 1:00-3:00 PM on June 29, 2026. Voting through the Shenzhen Stock Exchange internet system was from 9:15 AM to 3:00 PM on June 29, 2026.

On-site meeting location: Second-floor conference room of the Company, No. 5 Haihong Road, Beijing Economic-Technological Development Area, Beijing.

Attendance:
(1) Overall attendance: A total of 286 shareholders and shareholder representatives attended the on-site and online meeting, representing 277,703,677 shares with voting rights, accounting for 51.0474% of the Company's total shares with voting rights.
All directors and senior management of the Company attended the meeting in person or via video conference. A supervising lawyer was present on-site to witness the meeting.
(2) On-site attendance: 7 shareholders attended the on-site meeting, representing 1,313,200 shares with voting rights, accounting for 0.2414% of the Company's total shares with voting rights.
(3) Online voting: 279 shareholders participated in online voting, representing 276,390,477 shares with voting rights, accounting for 50.8060% of the Company's total shares with voting rights.
(4) Small and medium-sized shareholder attendance: A total of 284 small and medium-sized investors attended the meeting in person and online, representing 24,430,525 shares with voting rights, accounting for 4.4908% of the Company's total shares with voting rights.
Small and medium-sized investors refer to shareholders other than the Company's directors, senior management, and those holding 5% or more of the Company's shares individually or in aggregate.
The meeting was convened by the Board of Directors and presided over by Ms. Yao Zi, Chairperson of the Board. The convening, holding, and voting procedures of the meeting complied with relevant laws, administrative regulations, departmental rules, normative documents, and the Articles of Association.
II. Proposal Review and Voting Results
The shareholder meeting reviewed and approved the following proposals through on-site registered voting and online voting:
(I) Approval of the Proposal on Formulating the "Remuneration Management System for Directors and Senior Management of Beijing Leadingman Bio-Chem Co., Ltd."
Voting Results:
Approved: 276,388,877 shares, accounting for 99.5265% of the valid voting shares present at the meeting.
Against: 1,175,000 shares, accounting for 0.4231% of the valid voting shares present at the meeting.
Abstain: 139,800 shares (including 2,000 shares abstained by default due to no voting), accounting for 0.0503% of the valid voting shares present at the meeting.
Among them, voting results for small and medium-sized shareholders:
Approved: 23,115,725 shares, accounting for 94.6182% of the valid voting shares of small and medium-sized shareholders present at the meeting.
Against: 1,175,000 shares, accounting for 4.8096% of the valid voting shares of small and medium-sized shareholders present at the meeting.
Abstain: 139,800 shares (including 2,000 shares abstained by default due to no voting), accounting for 0.5722% of the valid voting shares of small and medium-sized shareholders present at the meeting.
