Articles of Association for the Board Secretary
Chapter 1 General Provisions
Article 1 To further standardize the work responsibilities and procedures of the Board Secretary of Zhejiang Hangqi Turbine Power Technology Group Co., Ltd. (hereinafter referred to as the "Company"), and to promote the Board Secretary in better fulfilling their duties, these Articles are formulated in accordance with the "Company Law of the People's Republic of China" (hereinafter referred to as the "Company Law"), the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), and other laws and regulations, the business rules of the Shenzhen Stock Exchange (hereinafter referred to as the "SZSE"), and the Articles of Association of Zhejiang Hangqi Turbine Power Technology Group Co., Ltd. (hereinafter referred to as the "Articles of Association").
Article 2 The Company shall appoint one Board Secretary, who shall be a senior management member of the Company and the liaison between the Company and the SZSE.
Article 3 The Board Secretary shall abide by the provisions of laws, administrative regulations, and the Articles of Association, and shall owe loyalty and diligence to the Company.
Article 4 When appointing the Board Secretary, the Company's Board of Directors shall simultaneously appoint a Securities Affairs Representative to assist the Board Secretary in fulfilling their duties. The Securities Affairs Representative shall hold a Board Secretary qualification certificate recognized by the SZSE.
Article 5 The Board Secretary and the Securities Affairs Representative shall comply with the provisions of these Articles.
Chapter 2 Appointment, Dismissal, and Qualification of the Board Secretary
Article 6 The Board Secretary shall be nominated by the Chairman and appointed or dismissed by the Board of Directors, to whom they are accountable. If a director also serves as the Board Secretary, and a certain action needs to be taken separately by the director and the Board Secretary, the individual holding both positions shall not act in a dual capacity.
Article 7 The Board Secretary shall meet the following conditions: (1) Hold a bachelor's degree or above, with at least 3 years of work experience in finance, management, law, economics, or equity investment; (2) Possess knowledge of finance, law, finance, enterprise management, computer applications, etc., necessary for fulfilling their duties; (3) Possess good professional ethics and personal qualities, strictly abide by national laws, administrative regulations, and normative documents, and be able to faithfully perform their duties; (4) Obtain a Board Secretary qualification certificate recognized by the SZSE.
