I. Transaction Overview
To further expand Chongqing Mei'an Sen Technology Co., Ltd. (hereinafter referred to as "Mei'an Sen" or "the Company") business segments and improve its product line, in accordance with the Company's strategic development needs, on August 20, 2026, the Company signed the "Share Purchase Agreement of Huayang Communication Technology Co., Ltd." with shareholders Qian Jiansheng, Xuzhou Zhizheng Enterprise Management Co., Ltd. (hereinafter referred to as "Xuzhou Zhizheng"), Zhan Chuntao, Jiaxing Kading Yude Equity Investment Partnership (Limited Partnership) (hereinafter referred to as "Jiaxing Kading"), Sheng Wenyan, Dong Jianmin, Mao Yuming, Huang Chaohui, Gu Jun, and Shi Mao. The agreement stipulates the cash purchase of 30,600,000 shares of Huayang Communication held by the aforementioned 10 shareholders, representing 60% of Huayang Communication's total share capital. Upon completion of this transaction, the Company will hold 70% of Huayang Communication's shares, becoming its controlling shareholder.
This transaction does not constitute a related-party transaction, nor does it constitute a major asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies."
On August 20, 2026, the Company held the fifteenth meeting of the sixth Board of Directors, which deliberated and approved the "Proposal on the Acquisition of Assets" (Voting Result: 7 votes in favor, 0 votes against, 0 abstentions). This transaction is subject to the approval of the Company's shareholders' meeting.
