I, Zhou Pinghua, as a candidate for the independent director of Yangguang Electric Power Co., Ltd. (hereinafter referred to as the "Company"), hereby declare and commit as follows:

1. I have fully understood the responsibilities and obligations of an independent director and confirm that I have no false statements or misleading omissions.

2. I confirm that I do not have any relationship that may affect my independence with the Company, its shareholders, or other related parties.

3. I have not been disqualified from serving as an independent director according to the relevant laws and regulations.

4. I have the necessary qualifications to serve as an independent director as stipulated by the Company’s articles of association.

5. I have not been involved in any criminal activities or received any administrative penalties from regulatory authorities.

6. I have not been subject to any disqualification from trading securities or any other penalties by the regulatory authorities.

7. I will not engage in any activities that conflict with my duties as an independent director.

8. I will not serve as an independent director in any other company that may have conflicting interests with the Company.

9. I will not hold any positions in companies that may have direct competition with the Company.

10. I will not hold any shares in the Company or its controlling shareholders that exceed 1% of the total shares.

11. I will not hold any shares in the Company or its controlling shareholders that exceed 5% of the total shares.
