I. Basic Situation of the Major Litigation
Guangdong Jiayun Technology Co., Ltd. (hereinafter referred to as "Jiayun Technology" or "the Company") disclosed the announcement titled "Announcement on Major Litigation Matters and Accumulated Litigation and Arbitration Cases" (Announcement No.: 2025-022) on April 24, 2025. The lawsuit was initiated due to Guotai Huizhong (Beijing) Sports Development Co., Ltd. (hereinafter referred to as "Guotai Huizhong") failing to meet performance targets, triggering cash compensation obligations as stipulated in the investment agreement. The founding shareholders Wang Yuanhao and Ge Rile have not fulfilled their cash compensation obligations, leading the company to file a lawsuit with the Nanshan District People's Court of Shenzhen, involving an amount of RMB 68,771,777.79. This case has been heard but not yet decided.
