I. Reason for Suspension and Work Arrangements
Shandong Rik Chemical Co., Ltd. (hereinafter referred to as the "Company") is planning a share issuance, cash purchase of assets, and fundraising (hereinafter referred to as the "Transaction"). Due to the uncertainty of relevant matters, to protect investor interests and avoid significant impact on the Company's securities trading, in accordance with the relevant regulations of the Shenzhen Stock Exchange, upon the Company's application, the Company's securities (Securities Type: A-share stock, Securities Abbreviation: Rik Chemical, Securities Code: 300214) will be suspended from trading starting from the opening of trading on June 29, 2026.
The Company expects to disclose the transaction plan within 10 trading days, i.e., by July 13, 2026, in accordance with the requirements of the "Guiding Rules No. 26 for Information Disclosure of Publicly Issued Securities Companies - Listed Company Major Asset Restructuring." If the Company fails to convene a board meeting to review and disclose the transaction plan within the aforementioned period, the Company's securities will resume trading at the opening of trading on July 13, 2026, at the latest, and the planned matters will be terminated. Simultaneously, the main work during the suspension period, the progress of the matters, the impact on the Company, and subsequent arrangements will be disclosed to fully alert investors to the risks and uncertainties of the relevant matters. The Company undertakes not to plan major asset restructuring matters for at least one month from the date of disclosure of the relevant announcement.
II. Basic Situation of the Planned Transaction
