Qingdao Zhongzi Zhongcheng Group Co., Ltd. (hereinafter referred to as "the Company") was investigated by the China Securities Regulatory Commission (hereinafter referred to as "CSRC") on January 16, 2025, for suspected violations of information disclosure laws. On April 30, 2025, the Company and relevant parties received the "Notice of Administrative Penalty" (hereinafter referred to as "the Notice") issued by the CSRC. According to the facts established in the Notice, the Company’s annual reports from 2017 to 2022 contain false records. The Company may be subject to mandatory delisting as per Article 10.5.1 (1) and Article 10.5.2 (6) of the "Shenzhen Stock Exchange GEM Listing Rules," which states that if the financial indicators disclosed in the annual reports contain false records for three consecutive years, the Company’s stock will be subject to "delisting risk warning," with the stock abbreviation and code remaining unchanged.

The Company has been under "delisting risk warning" and "other risk warnings" since April 30, 2024. The Company has disclosed the "2024 Annual Report," "Audit Report," and "Internal Control Audit Report" on the Giant Tide Information Network, with the auditing firm providing a report with a paragraph on significant uncertainties related to going concern and a qualified opinion on internal control. The Company has triggered the conditions for mandatory delisting as per Article 10.3.11 (3) and (5) of the "Shenzhen Stock Exchange GEM Listing Rules." The final result of this administrative penalty will be based on the formal administrative penalty decision issued by the CSRC. The Company will continue to monitor the progress of the above matters and will strictly fulfill its information disclosure obligations in accordance with relevant laws, regulations, and regulatory requirements. The Company received the "Notice of Case Filing" (Number: Zhen Jian Case Filing No. 03720251001) from the CSRC on January 17, 2025. Due to suspected violations of information disclosure laws, the CSRC decided to file a case against the Company on January 16, 2025. For specific content, please refer to the "Announcement on the Company's Receipt of the CSRC Case Filing Notice" (Announcement Number: 2025-003) disclosed by the Company on January 17, 2025.
On April 30, 2025, the Company and relevant parties received the "Notice" (Penalty No. [2025] 41) issued by the CSRC. The specific content of the "Notice of Administrative Penalty" is as follows:
"Qingdao Zhongzi Zhongcheng Group Co., Ltd., JIA XIAOYU (formerly known as 贾晓钰), QIU YUE, LI XIANGGANG, LIU TAO, YU XIUCHENG, CHEN RONGDONG, YANG JIGUO, and ZHAO ZIMING: The case of Qingdao Zhongzi Zhongcheng Group Co., Ltd. suspected of violating information disclosure laws has been investigated by our commission. We intend to impose administrative penalties on you. The illegal facts, reasons, basis, and your rights are hereby notified.
