Announcement on the Issuance of Administrative Penalty Decision by the Hubei Regulatory Bureau of the China Securities Regulatory Commission to the Actual Controller

Wuhan Tianyu Information Industry Co., Ltd. (hereinafter referred to as the "Company") and its actual controller, Yan Chunyu, respectively received the "Notice of Investigation" from the China Securities Regulatory Commission (Nos.: CSRC Investigation Letter 0052025006 and CSRC Investigation Letter 0052025005) on June 6, 2025. Due to suspected violations of information disclosure laws and regulations, in accordance with the "Securities Law of the People's Republic of China," "Administrative Penalty Law of the People's Republic of China," and other laws and regulations, the China Securities Regulatory Commission decided to investigate the Company and its actual controller, Yan Chunyu. For details, please refer to the "Announcement on the Company and its Actual Controller Receiving the Notice of Investigation from the China Securities Regulatory Commission" (Announcement No.: 2025-038) disclosed by the Company on the Juchao Information Network on June 6, 2025.
On June 29, 2026, the Company learned through public information inquiry that the Hubei Regulatory Bureau of the China Securities Regulatory Commission issued the "Administrative Penalty Decision" ([2026] No. 12) to Yan Chunyu. The relevant situation is hereby announced as follows:
I. Main Contents of the "Administrative Penalty Decision"
Party involved: Yan Chunyu, male, then actual controller and Chairman of Wuhan Tianyu Information Industry Co., Ltd. (hereinafter referred to as Tianyu Information), residing in Tongliao City, Inner Mongolia.
In accordance with the relevant provisions of the "Securities Law of the People's Republic of China" (hereinafter referred to as the "Securities Law"), our bureau initiated an investigation into the information disclosure violations and irregularities of Tianyu Information and its actual controller, Yan Chunyu. The party was informed of the facts, reasons, and basis for the administrative penalty, as well as the rights legally enjoyed by the party. The party did not apply for statement, defense, or hearing. The investigation and handling of this case have now been concluded.
The investigation found that Tianyu Information committed the following illegal facts:
- Tianyu Information failed to disclose related party transactions as required, and the 2023 annual report contained a material omission.
