Regarding the Announcement on Signing the Cooperation Agreement for Semaglutide Injection (Glycemic Control Indication) with Sanshengmendi

I. Overview of the Transaction
Given that Shenzhen Han's Pharmaceutical Co., Ltd. (hereinafter referred to as the "Company" or "Han's Pharmaceutical") has completed Phase III clinical trials for Semaglutide Injection (glycemic control indication and weight loss indication) in China, and the Semaglutide Injection (weight loss indication) has been jointly declared with Sanshengmendi and accepted by the CDE. Recently, the Company and Zhejiang Sanshengmendi Pharmaceutical Co., Ltd. (hereinafter referred to as "Sanshengmendi") have reached an agreement through friendly negotiation and signed the "Cooperation Agreement for Semaglutide Injection - Glycemic Control in Adult Type 2 Diabetes Patients" and the "Contract Manufacturing and Supply Agreement." The two parties have reached a cooperation on the development, registration, production, and commercialization of Semaglutide Injection (glycemic control indication) in the China region (Mainland China, Hong Kong, Macau, excluding Taiwan).
This cooperation does not constitute a related-party transaction, nor does it constitute a major asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies."
