I. Overview of Joint Investment with Professional Investment Institutions
Jiangsu Changhai Composite Materials Co., Ltd. (hereinafter referred to as the "Company"), as a limited partner, signed the "Partnership Agreement of Changzhou Ligou Venture Capital Partnership (Limited Partnership)" on September 9, 2024, with Changzhou Lizhong Investment Management Co., Ltd. (general partner) and other limited partners (Jiangsu Leili Electric Co., Ltd., Jiangsu Tianyuan Intelligent Equipment Co., Ltd., and individual investor Liang Huabing). The partners jointly contributed to establish Changzhou Ligou Venture Capital Partnership (Limited Partnership) (hereinafter referred to as the "Partnership" or "Fund"). The initial total capital commitment of the Partnership was RMB 38 million, of which the Company committed RMB 10 million from its own funds, accounting for 26.32% of the total commitment. On September 11, 2024, the Partnership completed its establishment registration and obtained the "Business License" issued by the Administrative Examination and Approval Office of Wujin District, Changzhou City. On November 8, 2024, the Partnership completed the filing procedures with the Asset Management Association of China and obtained the "Private Investment Fund Filing Certificate". On January 10, 2025, the Partnership introduced new limited partners and adjusted the capital commitment, increasing the total commitment from RMB 38 million to RMB 103 million. The capital commitment of the general partner, Changzhou Lizhong Investment Management Co., Ltd., increased from RMB 1 million to RMB 5.5 million. The Company's commitment remained at RMB 10 million, and its contribution ratio was adjusted from 26.32% to 9.7087%.
